International Commercial Bank is operating in Albanian Banking Industry for more then 18 years with a qualified staff. It is a stable bank and is part of ICB Financial Group Holding AG. Presently, the bank is looking for a candidate for the vacant position of "Head of Legal Unit" in Head Office, Tirana city. Criteria for this position are mentioned below:
JOB TITLE: Head of Legal
REPORTS TO: Chief Administrative Officer
LOCATION: Tirana, Albania
PURPOSE STATEMENT:
•To be responsible for undertaking legal work in the Bank to support the Bank in achieving its business objectives. Advise on legal issues to other departments to safeguard the Bank's business interests, in line with national policies and guidelines.
•To advise the Management on compliance with laws, rules and standards and inform them regularly on the new developments. Responsible for keeping company activities in strict compliance with new legislation
MAIN DUTIES&RESPONSIBILITIES:
•Ensures that staff complies with internal policies, Bank of Albania Rules and Regulations and other government directions.
•Asses the appropriateness of the bank’s compliance procedures and guidelines, and identified deficiencies by formulating proposals for amendments
•Provide legal support to the Bank’s Management and Departments on daily basis
•Participate in preparation of amendments to the constituent documents of the Bank, getting approval and registration of the indicated documents with the Central Bank and government authorities as well as other negotiations in respect of the Bank’s activity
•Generate legal conclusions regarding the Bank’s activity
•Participate in development of standard forms of agreements (loan, collateral, cash and settlement services, day-to-day activities etc.)
•Fill claims on behalf of the Bank
•Manage legal suits and potential suits against the Bank by liaising with Lawyers Panel, and provide legal advice, briefings, recommendations and reports to Management of the Bank
•Provide legal advice and support to
loan recovery on general litigation issues arising from legal proceedings against defaulting borrowers
•File suits against defaulting borrowers, follow up of court cases as well as recovery of classified/written off loans, documentations and physical verification of genuineness of mortgaged properties, maintain liaison with panel lawyers, mortgage office and take over posses. Sign of the property owned / possessed by the Bank, etc
•Provide legal advice to business units by advising on new product development, drafting and reviewing terms and conditions of these products and related promotional campaigns, reviewing marketing materials for such products and campaigns, and advise on legal issues arising from dealings with customers and /or account operations. Ensure that products and services offered by the bank duly comply with rules and regulations
•Help in prepare briefs, complaints, motions and other court documents.
•Draft and vet commercial agreements entered into by the Bank with business partners, service providers and suppliers arising from the above
•Advise the human resources department on employment law and labor and benefit issues
•Represent the bank in court for different legal matters
•Conduct legal research on specific legal issues, update local laws and regulations, and develop and provide appropriate training programs to enhance legal awareness
•Ensure all required by-laws , resolutions and procedures are in-place and up-to-date
•Conversant with the new laws and provide management with sound advice on all aspects of corporate governance and legislative requirements.
•Ensure the bank operates within the provision of its Statute and applicable legislation
•Manage and oversee workflow of the department with overall accountability for the effectiveness, productivity and level of employee satisfaction and performance as a team
•Conduct Training when required
CRITERIA FOR THIS JOB PROFILE:
•Holds a University degree in Law.
•Minimum 7-8 years of experience, preferably have in-house experience in banks or other financial institutions, though private practice will also be considered
•Very good knowledge of banking law, commercial law and other applicable laws in force
•Good access to key stakeholders (Government, Ministries, Parliament, media, political parties, business associations etc.)
•Previous leadership experience including supervision and development of staff
•Strong analytic, planning and project management skills; Strong communication skills
•Ability to react on unexpected events
•Very Good command of English language
•Very Good command of Microsoft Package.
•Have strong presentation, and interpersonal skills
•Very strong written and verbal skills both in English and Albanian
